(A) Purpose and Acceptance

These Website Terms of Use ("Terms") govern access to and use of the AMS Italy Legal website, including its pages, content, notices, contact forms and related communications (the "Website").

By accessing or using the Website, you agree to these Terms. If you do not agree, you should discontinue use of the Website.

These Terms govern only use of the Website. They do not govern any legal or advisory services that may later be provided under a separate written engagement.

(B) Website Context and Related Notices

In these Terms, "AMS Italy Legal", "we", "us" and "our" refer to the AMS Italy Legal structure as described in the Regulatory Information Notice made available on the Website.

The Website forms part of that structure and is made available for general communication, information and marketing purposes in relation to Italian matters and projects.

These Terms should be read together with the Regulatory Information Notice and the Privacy Notice available on the Website. Those notices explain, respectively, the regulatory and professional framework of the AMS Italy Legal structure and the manner in which personal data is processed. Nothing on the Website shall be interpreted in a manner inconsistent with such notices.

(C) Informational Content Only

All content made available on the Website is for general informational purposes only. It is not legal advice, tax advice, financial advice, investment advice, or any other professional advice, and should not be relied upon as a substitute for tailored advice based on specific facts and circumstances.

While reasonable care may be taken in preparing Website content, no representation or warranty is made that any content is complete, accurate, current or suitable for any particular purpose.

The Website is not intended to constitute a solicitation for legal services, or an offer to provide legal advice, in any jurisdiction where such communication would be restricted or prohibited.

(D) No Client Relationship and Separate Engagement Terms

Access to the Website, use of the contact form, transmission of an enquiry, or any preliminary exchange of communications does not by itself create a lawyer-client, attorney-client, advisory, fiduciary or other professional relationship.

Any professional relationship, if accepted, arises only upon execution of a separate written engagement letter or equivalent written instrument by the relevant AMS Italy Legal entity and/or the relevant regulated professional. Where reserved Italian legal activities are involved, they are undertaken only by the duly authorized professional or professionals identified in writing.

Once such engagement is entered into, the relationship with the client shall be governed by that engagement, the applicable mandatory law and the applicable professional conduct rules. To the extent relevant, the engagement letter shall prevail over these Terms in relation to the services, fees, billing, liability, scope of work and other client-specific matters.

(E) Jurisdictional Scope of Any Services

Unless expressly agreed otherwise in writing, any legal advice provided within the AMS Italy Legal structure relates exclusively to Italian law.

Where a matter involves multiple jurisdictions, AMS Italy Legal may coordinate with appropriately qualified local professionals. Nothing on the Website should be understood as holding out any entity or individual as authorized to practice in a jurisdiction in which it is not duly authorized or regulated.

(F) Permitted Use of the Website

You may use the Website solely for lawful purposes and in a manner consistent with these Terms. You must not:

  • use the Website in a manner that is unlawful, misleading, fraudulent, harmful, abusive or defamatory;
  • interfere with or attempt to compromise the operation, security, availability or integrity of the Website or any related system;
  • attempt to gain unauthorized access to any restricted area, account, infrastructure, source code or data;
  • reproduce, copy, scrape, harvest, republish, frame, systematically extract or commercially exploit Website content except as permitted by mandatory law or with prior written consent; or
  • transmit through the Website any malicious code, spam, unlawful material or content that infringes third-party rights.
(G) Enquiries, Submissions and Communications

The Website includes a contact and enquiry channel for initial communications. By submitting an enquiry, you confirm that the information provided is, to the best of your knowledge, accurate and not misleading, and that you are entitled to share it.

If you provide personal data or information relating to another person, you are responsible for ensuring that you are authorized to do so and, where required, that the individual has been appropriately informed.

Please do not send confidential, privileged, highly sensitive, export-controlled or time-critical information unless and until AMS Italy Legal has confirmed that it is able to consider the matter and has requested such material.

AMS Italy Legal may review enquiries for conflicts, eligibility, capacity, priority and suitability. It remains free to decide whether and how to respond and whether to accept any instruction. Any indicative response time stated on the Website is an operational target only and does not create a binding obligation.

The Website and its contact channels are not intended for service of process, emergencies, or matters requiring immediate action or preservation of rights.

(H) Intellectual Property

Unless otherwise stated, the Website and all content made available through it, including text, layout, branding, logos, graphics, images, downloadable notices and overall presentation, are owned by or licensed to AMS Italy Legal and are protected by applicable intellectual property laws.

You may view the Website and print or retain limited excerpts for personal use or legitimate internal business reference only. Any other use, including modification, redistribution, republication, commercial exploitation or creation of derivative works, requires prior written permission.

(I) Third-Party Links and External Platforms

The Website may contain links to third-party websites or platforms, including professional or social media profiles. Such links are provided for convenience only.

AMS Italy Legal does not control and is not responsible for the content, accuracy, availability, security or privacy practices of third-party websites or services. Access to such resources is at the user's own risk and subject to the applicable third-party terms.

(J) Privacy, Cookies and Technical Services

Personal data collected through the Website or in connection with its use is processed in accordance with the Privacy Notice.

(L) Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, AMS Italy Legal shall not be liable for any loss, damage, cost or expense arising out of or in connection with use of, inability to use, or reliance upon the Website or its content.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded.

Nothing in these Terms limits or excludes liability arising under a separate written engagement, where and to the extent such engagement applies.

We may update these Terms from time to time to reflect legal, regulatory, operational or organizational changes. The latest version made available on the Website shall indicate its update date.

(N) Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by Italian law, subject to any mandatory rules that cannot be excluded.

Any dispute relating solely to these Terms or use of the Website shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy, unless a different forum is required by mandatory law or expressly agreed in a separate written engagement.

No contractual or client relationship is created merely by accessing the Website, sending an enquiry or exchanging preliminary communications.
